Under the latest proposal from Transport Minister Óscar Puente, the newly established entity, Rodalies Catalunya SA, will be incorporated within the Renfe group, effectively treating it as a subsidiary.

Sector sources indicate that this modification would likely shift more operational control to Renfe, thereby easing concerns among employees regarding job security and working conditions.

Further enhancing Renfe's role, the new plan outlines a governance structure in which the central government would delegate its representation on the company’s board to Renfe Viajeros rather than maintaining a shared governance model with the Generalitat.

This arrangement promises to uphold “the respect and guarantee of labor rights in accordance with Renfe's collective agreement,” as stated in documentation presented by the Ministry’s leadership, which has received approval from both the provincial government and the rail operator.

The anticipated governance model for the new mixed entity is also expected to address various stakeholder concerns.

The draft statutes outline a corporate governance framework consisting of a board with nine members: four appointed by Renfe, four by the Generalitat, and a president with a casting vote elected by the regional administration.

Despite the proposed transfer of the R1 line infrastructure—which includes vital sections between Sagrera and Maçanet-Massanes—the Ministry's latest strategies include retaining the operational management of these assets under the current structure involving the Administrator of Railway Infrastructures (Adif).

The ongoing concerns among workers have prompted the Ministry to consider this approach to ensure continuity and stability within the workforce.

The Catalan government has previously acknowledged that the public company Ifercat lacks sufficient personnel and resources for maintaining the transferred rail infrastructure.

Plans are underway for Ifercat to sign a contract allowing Adif, the existing operator, to continue its management role post-transfer.

Thus, the Ministry’s proposal seeks to maintain Adif’s oversight of the rail infrastructure, ensuring worker conditions remain unchanged.
